Matthew D. Kissner represents privately and publicly held clients in connection with a variety of business and transactional matters including mergers and acquisitions; planning, structuring and restructuring business ventures; corporate governance; initial capitalization and recapitalization through private securities offerings; protection and licensing of technology and related intellectual property rights; negotiation and preparation of various contracts and commercial agreements; and general corporate matters.
He serves as outside general counsel to startups and emerging companies, advising founders regarding the formation, organization and governance of business entities; early-stage financings; growth through strategic acquisitions and alliances; employment, consulting and non-disclosure arrangements; and day-to-day operational issues.
Kissner represents publicly traded companies regarding their reporting obligations under the Securities Exchange Act, including compliance with Sarbanes-Oxley, the Foreign Corrupt Practices Act and corporate governance requirements, and regularly prepares proxy statements, periodic reports and other disclosure documents.
In the area of intellectual property, Kissner assists clients with the management of trademark and copyright portfolios; filing and prosecution of trademark applications; development of protection strategies; and negotiation and preparation of license agreements.
He also represents franchisors in the development, structuring and maintenance of their franchise networks, including the preparation of disclosure documents, agreements and registrations, and has experience representing small businesses and Fortune 500 companies in various commercial disputes and litigation matters.
With a business background that includes the successful operation of real estate investment franchises in four Florida counties, Kissner has first-hand entrepreneurial experience. In 2006, he received national recognition for his talents as a real estate dealmaker and negotiator.
Kissner is a graduate of the Florida State University College of Law, where he was a member of the Florida State Business Review.
